OTHER TERMS OF USE

FORCE MAJEURE

We shall not be held liable for any failure, interruption, or delay in the performance of our obligations under this Agreement that result from events beyond our reasonable control, including but not limited to: natural disasters (such as earthquakes, floods, fires, or storms), acts of God, war, terrorism, armed conflict, labor disputes (including strikes and lockouts), supply chain disruptions, utility or telecommunications failures, service interruptions from third-party hosting providers, or any actions, laws, or directives of governmental authorities (central, state, or local).

If such a Force Majeure event continues for more than thirty (30) consecutive days, either party shall have the right to terminate this Agreement without incurring any additional liability, other than obligations accrued prior to the date of termination.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by, and construed in accordance with, laws of India. The Civil Courts and High Court at Chennai, Tamil Nadu, India shall have the exclusive jurisdiction concerning all matters in the Agreement.

SUSPENSION AND TERMINATION

We may suspend your organization or user account or temporarily disable access to the whole or part(s) of our software Service in the event of any suspected illegal activity or requests by law enforcement or other government agencies.

Additionally, if you violate the terms of this agreement, we reserve the right to terminate your account and deny access to our Software Services. Termination of the account would result in deletion of your account information, users and data.

SEVERABILITY

If any provision of this Agreement is held by a court of competent jurisdiction to be illegal or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the intention of the original provision.

MODIFICATION OF TERMS AND CONDITIONS

ViewZen reserves the right, at its sole discretion, to modify, amend, or update these terms and conditions at any time without prior notice. ViewZen may, but is not obligated to, notify users of any changes to the terms and conditions via email or through the Company's website. You shall regularly review the terms and conditions for any updates or modifications.
