Welcome to our WhatsApp Shopping and Business Services (“Service”). These Terms of Service (“Terms”) govern your use of our WhatsApp Applications and related services.

Important: These Terms and Conditions apply specifically to the VZness application (“VZness”), developed and maintained by ViewZen. They must be read in conjunction with the overall ViewZen Terms of Service and Privacy Policy, which govern the broader usage of our platform and services.

In the event of any conflict, the ViewZen Terms will prevail for general matters, while these VZness-specific terms will apply to features and interactions within the VZness App.

By using this application ("Service"), you agree to these Terms and Conditions ("Terms"). If you do not agree, please refrain from using the Service.

Purpose

The purpose of this service is to provide businesses ("business clients") with

1. WhatsApp-based shopping, checkout, payment services

2. Catalog management, order management and analytics on WhatsApp services provided by us

3. Marketing and Utility messaging tools

Eligibility

1. You must be at least 18 years old to use this Service.

2. Businesses must be legally registered entities and authorized to sell the products they list.

3. You must be legally registered in India and providing services to end-users in India only

This service is currently available only in India. If you are located outside India, kindly refrain from using this service

Your Responsibilities

Business Clients:

1. Provide accurate business and product information.

2. Ensure products comply with local laws, regulations, and platform guidelines.

3. Fulfil customer orders in a timely manner.

4. Maintain confidentiality of credentials and end customer data.

5. Business clients must ensure their own compliance with applicable data protection laws when using our services.

Additionally,

1. Your Terms of Service and Privacy Policy are clearly published and accessible on your website.

2. For e-commerce services, a transparent cancellation and refund policy is provided.

3. For shopping and marketing and utility messaging services, you agree to fully comply with the WhatsApp policies applicable to such services.

End Users:

1. Provide accurate and complete personal and delivery information.

2. Use the Service only for lawful shopping and communication.

3. Use the Service only if you are located in India.

4. Ensure payment information is valid and authorized.

Prohibited Uses

You agree not to:

1. Use the Service for illegal, fraudulent, or unauthorized purposes.

2. Upload or share harmful, abusive, or offensive content.

3. Interfere with system security or attempt to access accounts not belonging to you.

4. Sell prohibited items (e.g., narcotics, weapons, counterfeit goods etc.).

Payment and Fees

Business Clients:

1. Payments are processed through "Payment Configurations" associated with your WhatsApp accounts. You are solely responsibile for maintaining these configurations. We do not store sensitive card/UPI details.

2. Merchants may be charged subscription or transaction fees as per their service plan.

3. All subscription purchases are final. Once your subscription is successfully activated, no refunds will be issued, either full or partial, for any reason, including unused time.

4. We encourage clients to review the features and pricing before subscribing.

Refunds of Failed Transactions & Duplicate Payments

• If a payment is deducted from the user's account but the subscription is not activated, users must contact support with the transaction reference ID.

• We will verify the failed transaction with the payment gateway provider.

• If confirmed, a full refund will be initiated to the original payment method within 5–7 business days, or the subscription will be manually activated — based on the user's preference.

• We are not responsible for delays caused by banking systems or third-party payment processors.

• Duplicate Payments: Verified duplicate payments will be refunded.

End Users:

1. Refunds and cancellations are subject to the merchant’s refund and cancellation policy. Kindly go through the Merchant's policies before making a purchase.

Data Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you agree to our data practices as described there.

Intellectual Property Rights

All features, software, content, algorithms, design elements, analytics tools, and visualizations provided by this app are owned by ViewZen Labs Pvt Ltd or our licensors unless stated otherwise. Reproduction or redistribution without permission is prohibited.

Merchants retain ownership of their product data and branding but grant us a license to display it in the Service.

Liability & Disclaimers

• We are a technology service provider and not a seller of goods. Merchants are solely responsible for the products they sell.

• We do not guarantee product quality, availability, or delivery timelines.

• To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages.

Suspension & Termination

We may suspend or terminate access if you:

• Violate these Terms.

• Engage in unlawful activities.

• Misuse the Service or compromise system integrity.

Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Chennai, Tamil Nadu, India.
